Syncing files between Windows Server 2012 R2 with caveats

I'm hoping someone can point me in the right direction.

Scenario: I have two servers running ESXi 5.5 with one virtual machine on each host running Windows Server 2012 R2. I want to use the 2nd VM for file replication and disaster recovery so I need the files to stay in sync. Here are the caveats:

  1. Sync only updated/modified files.
  2. If the file is present on the source but not different from what is on the destination, update a timestamp (last modified or last accessed or ?) of the file on the destination.
  3. If file is not present on the source, keep on destination and don't touch it (i.e. don't update timestamp).

The second and third caveat will have the destination keep the file for a specified amount of time and removed via a script.

Is there a solution or tool (robocopy, xcopy, etc.) that could be leveraged to accomplish this? I appreciate any help I can get!

P.S. Free is my only option in terms of licensing.
